Delegate Software AG with new ownership structure
Rebus holding company takes over equity stake from GUB Wagniskapital

As of September 30th of this year, the limited holding company Rebus Beteiligungs GmbH has taken over the 36% equity stake in Delegate Software AG from the long-standing shareholder Venture Capital Fund GUB Wagniskapital GmbH & Co KGaA, headquartered in Schwabisch Hall, Germany.
GUB had had a share in Delegate as venture capital investor since the year 2000 and successfully accompanied the enterprise to this day. In the course of a strategic realignment of their portfolio, GUB decided to end their engagement in Delegate. By way of a Management Buy Back to co-shareholders a future-oriented and safe succession is guaranteed.
Rebus Beteiligungs GmbH is owned by Delegate founders Thomas Frank and Johann Maierhofer as well as Gerd Sumah, who is a new addition to the team of owners.
GUB Wagniskapital is an experienced partner when it comes to venture capital in the Germanic region. In the past 20 years it has held stakes in more than 100 young start-up companies. Aside from the more than 120 million Euros in equity which GUB has invested in these start-ups as lead investor, government funds and funds from co-investors worth more than 650 million Euros in additional equity were invested in the portfolio.

Consequently, finalising negotiations with Rebus, which is mostly owned by Delegate founders Johann Maierhofer and Thomas Frank, was the best possible solution.’
Rebus Holding is owned by Delegate founders Thomas Frank and Johann Maierhofer as well as Gerd Sumah, it was founded to bundle the shares of GUB, Frank and Maierhofer. Rebus as the designated majority owner of Delegate is now responsible for the successful continuation of the company. The focus in this will lie in the consistent development of the core business and innovation leadership in communal catering software.

On top of this, Delegate manager Martin Knopp has used the latest capital increase and now holds 5% of Delegate’s shares. Martin Knopp has been active in the company for 8 years and has been in charge of business development since, his area of responsibility has grown continuously and now he’s solely responsible for the entire operative business.
